Terms of service.

These Terms of Service ("Terms") form a binding agreement between you ("Client", "Principal", "you") and Praveen Kumar Adha, an Indian sole proprietor trading as "HereVR" ("HereVR", "we", "us", "our"), governing your access to and use of our private lifestyle-office services (the "Service"). By engaging the Service, completing the request-access form, or signing an engagement letter, you accept these Terms.
1.About us & acceptance
HereVR is an unincorporated sole proprietorship operated by Praveen Kumar Adha. Correspondence address is provided on request; the principal contact for all legal and operational matters is hello@herevr.in.
These Terms apply alongside any individually negotiated engagement letter. Where the engagement letter and these Terms conflict, the engagement letter prevails for that client.
2.The service
HereVR provides a discreet, retainer-based lifestyle and household management service for a small set of private clients. The Service may include household coordination, travel logistics, supplier vetting, scheduling, errands, research, and introductions to third-party professionals. The Service is advisory and coordinative only; we do not provide legal, medical, tax, financial, immigration, or investment advice.
3.Eligibility
The Service is offered to individuals aged 18 or over with legal capacity to contract. Engagements are by invitation and subject to mutual fit assessed during onboarding.
4.Engagement & retainer
The Service is delivered on a recurring monthly retainer. Onboarding begins once the engagement letter is countersigned and the first retainer instalment is received. Either party may terminate the engagement in accordance with section 12.
5.Fees, billing & renewal
Retainer fees, currency, and any pass-through expense policy are set out in the engagement letter. Unless stated otherwise:
- Retainer fees are invoiced monthly in advance and payable within 7 days of invoice date.
- The retainer renews automatically each month unless cancelled under section 6.
- Third-party costs incurred on your behalf (suppliers, travel, gifts, tickets, etc.) are passed through at cost and reconciled monthly with receipts.
- Applicable taxes (including GST, VAT, or equivalent) are added where required by law.
- Late payment may attract simple interest at 1.5% per month and may, after written notice, lead to suspension of the Service.
6.Cancellation & refunds
Cooling-off (new clients): a new client may cancel the engagement within 14 days of the engagement letter being countersigned by giving written notice to hello@herevr.in. Any unused portion of the first retainer instalment will be refunded pro-rata, less out-of-pocket costs already incurred and reasonable time logged on the engagement.
Ongoing engagements: either party may cancel by giving 30 days' written notice. Where you cancel mid-month after the cooling-off period, the retainer for the current month is non-refundable; we will however not bill any further instalments after the notice period ends.
Termination for cause: we may terminate immediately and without refund for material breach (including breach of section 7 or the Acceptable Use Policy).
7.Client responsibilities
- Provide accurate, complete, and timely information needed to deliver the Service.
- Issue instructions through agreed channels and authorised contacts only.
- Make only lawful requests. Our Acceptable Use Policy lists what we will not do, on any terms.
- Settle approved third-party invoices and disbursements promptly.
- Treat office staff with courtesy.
8.Third-party suppliers & disbursements
When we engage suppliers (drivers, vendors, agencies, venues, clinicians, contractors) on your behalf, we act as your appointed coordinator and not as the supplier. Contracts for goods and services are between you and the supplier directly. We are not liable for the acts, omissions, defaults, or quality of work of third-party suppliers, though we will advocate for you reasonably if issues arise.
9.Limitation of liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability arising out of or in connection with the Service is capped at the retainer fees actually paid to us by you in the three (3) months immediately preceding the event giving rise to the claim.
- We are not liable for any indirect, consequential, special, incidental, or punitive loss, or for loss of profit, opportunity, reputation, anticipated savings, or data.
- Nothing in these Terms limits liability that cannot lawfully be limited (including liability for death or personal injury caused by negligence, or for fraud).
10.Indemnity
You agree to indemnify and hold HereVR harmless against any third-party claim, loss, or expense (including reasonable legal fees) arising from your unlawful instructions, your breach of these Terms, or your breach of any third-party contract we coordinated on your behalf.
11.Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, government action, internet or utility outage, or supplier failure.
12.Suspension & termination
We may suspend or terminate the Service immediately on written notice if you breach these Terms, the Acceptable Use Policy, or fail to pay any sum due within 14 days of a payment reminder, or if continuing the engagement would expose us to legal, regulatory, or reputational risk.
13.Confidentiality
Every engagement is bound by a mutual confidentiality regime described in our Confidentiality & NDA Statement.
14.Data & privacy
Our handling of personal data is described in our Privacy Policy and tracking technologies in our Cookie Notice.
15.Governing law & dispute resolution
These Terms are governed by the laws of India. Subject to the paragraph below, the courts at Mumbai, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
Before commencing proceedings, the parties will attempt to resolve any dispute through good-faith discussion within 30 days. Failing resolution, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Mumbai, conducted in English.
Clients in the EEA or UK: nothing in this section deprives you of any mandatory consumer protections available under your local law, including the right to bring proceedings in the courts of your country of residence where applicable.
16.Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to active clients by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
